1. Agreement to terms
By using this website or engaging Edatix for services, you agree to these Terms of Service. If you do not agree, do not use our website or services.
2. Services
Edatix provides e-commerce data management and operations services for tire and wheel businesses, including but not limited to catalog management, pricing management, shipping cost analysis, and the free fitment chatbot. The specific scope of paid services is defined in individual service agreements or statements of work agreed upon in writing.
3. Free fitment chatbot
The fitment chatbot is offered at no charge as-is. Edatix makes reasonable efforts to ensure the accuracy of fitment data but does not warrant that the chatbot will be error-free or uninterrupted. Edatix is not liable for wrong-fit orders that result from chatbot output. Clients are responsible for verifying fitment data before relying on it for customer-facing use.
4. Client responsibilities
Clients agree to provide accurate data and access necessary for Edatix to perform the services. Clients retain ownership of their product data and catalog content. Clients are responsible for ensuring they have the rights to any product data, images, or content they provide to Edatix.
5. Intellectual property
Edatix retains ownership of its processes, tools, and methodologies. Client data and catalog content remains the property of the client. Work product created for clients (cleaned catalog data, corrected listings, etc.) becomes the property of the client upon full payment.
6. Payment
Payment terms for paid services are defined in individual service agreements. Monthly retainers are billed at the start of each month. Project work is invoiced upon completion or per agreed milestones. Overdue invoices may result in suspension of services.
7. Cancellation
Ongoing monthly services may be cancelled with 30 days written notice. Project work may be cancelled with payment for work completed to date. The free fitment chatbot may be discontinued by either party at any time.
8. Limitation of liability
Edatix's liability for any claim arising from services is limited to the fees paid in the prior 30 days. Edatix is not liable for indirect, incidental, or consequential damages including lost profits, lost sales, or marketplace penalties.
9. Confidentiality
Both parties agree to keep confidential any non-public business information shared in the course of the engagement. This does not apply to information that becomes publicly known through no breach of this agreement.
10. Changes to terms
We may update these terms from time to time. Continued use of our website or services after changes constitutes acceptance. Material changes to service agreements will be communicated directly.
11. Governing law
These terms are governed by applicable law. Any disputes will be resolved through good-faith negotiation before pursuing other remedies.
